These Terms of Service ("Terms") govern your access to and use of BidClarity, a government procurement intelligence and contract delivery platform operated by Trimax Consulting Inc. ("BidClarity", "we", "us", "our"), registered in British Columbia, Canada. By signing up for or using BidClarity, you agree to these Terms.

1. The service

BidClarity is a two-part platform serving the full government contracting lifecycle — finding, winning, and delivering contracts.

BidClarity is an intelligence, delivery-management, and research tool. It does not submit bids on your behalf, act as your contracting officer, provide legal advice, or guarantee any procurement outcome.

2. Subscription plans and billing

BidClarity offers Intelligence plans (Scout, Intelligence, Command, Enterprise), Fulfill plans (Executor, Manager, Director, Enterprise), and Intelligence + Fulfill bundles. Current pricing:

Complete plan features are described at bidclarity.ai/pricing. Annual plans are discounted 20% compared with monthly billing and are billed as a single upfront payment. Canadian subscribers: BC PST (PST-1512-0307) is added where applicable.

14-day trial

New subscribers receive a 14-day trial. Your payment method is authorised at signup but not charged until day 15. You will receive at least 2 intelligence reports during the trial period and have full access to Fulfill if included in your selected plan. Cancel any time before day 15 and no charge is made.

Refund policy

Subscription payments are non-refundable once a billing period has commenced. Annual plan payments are non-refundable after the billing date. If you cancel an annual plan mid-term, your access continues until the end of the paid period with no partial refund. Monthly plans can be cancelled at any time and access continues until the end of the paid month. BidClarity reserves the right to offer refunds at its discretion in exceptional circumstances.

Price changes

BidClarity will provide at least 30 days' notice of any price change. Existing subscribers are not subject to price increases without notice. If you do not cancel before the effective date of a price change, you agree to the new pricing.

Founding and legacy pricing protection

Founding and legacy subscribers keep their locked rate indefinitely as long as their subscription remains active, on the same plan tier, and in good standing. A voluntary upgrade to a higher plan tier at the new pricing constitutes acceptance of new pricing for that plan tier. Switching billing cadence (monthly to annual or vice versa), pausing, or cancelling releases the founding rate.

You may use BidClarity to identify, evaluate, pursue, and manage delivery of government procurement opportunities for your business. You may not:

All BidClarity outputs — including Intelligence reports, match scores, win-probability (PWIN) assessments, compliance matrices, Sources Sought drafts, proposal drafts, and Fulfill outputs including supplier shortlists, price benchmarks, outreach drafts, and auto-drafted past performance narratives — are licensed for internal business use by the subscribing entity only. The following are prohibited without prior written consent from BidClarity:

You retain ownership of the underlying business information you supply (your capability profile, your contracts, your supplier relationships, your delivered work). BidClarity's selection, scoring, ranking, matching, benchmarking, and drafting of outputs derived from that information remain BidClarity's proprietary work product.

5. Automated extraction prohibition

Automated scraping, crawling, API polling, or extraction of report data, match scores, supplier records, price benchmarks, or any BidClarity content via script, bot, browser automation, or other automated means is strictly prohibited. Enterprise subscribers who require programmatic access to their own opportunity or contract data may inquire about API access under separate commercial terms.

6. Intellectual property and trade secrets

BidClarity's scoring methodology, supplier-matching algorithms, price benchmark derivation methods, prompt engineering, evaluation criteria, accumulated scoring corrections, proprietary evaluation datasets, and training configurations constitute proprietary trade secrets of Trimax Consulting Inc. / BidClarity. Reverse engineering, inference, systematic probing, or any attempt to determine the internal logic of the scoring or matching systems through repeated queries, pattern analysis, or any other means is prohibited and may constitute misappropriation of trade secrets under applicable law.

The BidClarity name, logo, and brand are trademarks of Trimax Consulting Inc. The scoring methodology, supplier-matching engine, evaluation framework, and report format are protected as trade secrets. All other content on the BidClarity platform is © 2026 Trimax Consulting Inc.

Government procurement notices sourced from public portals, and award data sourced from public government records, remain in the public domain. BidClarity's selection, scoring, ranking, annotation, geographic matching, and benchmarking of that public data is our original work.

7. Data accuracy disclaimer

BidClarity aggregates data from public government procurement portals and public contract award records. Contract details, deadlines, eligibility requirements, estimated values, supplier information, and price benchmarks should be verified against originating sources before bid submission, supplier engagement, or any binding commitment. BidClarity does not guarantee the completeness, timeliness, or accuracy of third-party procurement data, third-party supplier data, or benchmark price data. Portal structures change, feeds may be delayed, supplier contact information may be outdated, and some notices may not appear in our dataset. Always confirm details directly with the contracting agency and any supplier before committing.

8. AI output disclaimer

Match scores, eligibility assessments, funding-source flags, action plans, contract deliverable (CDRL) reminders, supplier shortlists, price benchmarks, outreach drafts, proposal drafts, and auto-drafted past performance narratives are generated by artificial intelligence and are provided for informational and research purposes only. They do not constitute legal, financial, procurement, compliance, or professional advice. Subscribers are responsible for independently verifying eligibility requirements, contract obligations, supplier qualifications, pricing, compliance obligations, and the accuracy of any AI-drafted content before submission or reliance. BidClarity accepts no liability for bid outcomes, delivery outcomes, supplier engagement outcomes, or any other outcomes based on AI-generated outputs.

9. Limitation of liability

To the maximum extent permitted by applicable law, BidClarity's total liability to you for any claim arising from or related to these Terms or the service shall not exceed the total subscription fees paid by you in the 12 months preceding the claim. BidClarity is not liable for any indirect, incidental, consequential, or special damages, including lost profits, loss of data, loss of business opportunity, or loss arising from contract performance or non-performance, regardless of whether BidClarity was advised of the possibility of such damages.

10. Service availability

BidClarity aims for high availability but does not guarantee uninterrupted service. Scheduled maintenance, scraper failures on third-party portals, cron job delays, or infrastructure issues may occasionally affect report delivery, deliverable reminders, or other time-sensitive outputs. BidClarity will notify subscribers of known outages by email. Subscribers managing live contract deliverables through Fulfill should maintain independent awareness of contract deadlines and should not rely solely on BidClarity reminders. Service credits are not provided for brief interruptions but may be offered at BidClarity's discretion for extended outages.

11. Termination

You may cancel your subscription at any time from your billing portal at billing.bidclarity.ai. BidClarity may suspend or terminate your account for violation of these Terms, with notice where practicable. Upon termination, your subscriber data — including Fulfill contract and supplier records — will be deleted within 30 days per our Privacy Policy, with billing records retained per applicable tax law.

12. Governing law

These Terms are governed by the laws of British Columbia, Canada. Any dispute arising from these Terms shall be resolved in the courts of British Columbia, Canada. Nothing in these Terms limits any rights you may have under applicable consumer protection or data protection laws in your jurisdiction.

13. Changes to these terms

BidClarity will provide at least 14 days' notice of any material changes to these Terms by email to active subscribers. Your continued use of the service after the effective date constitutes acceptance of the revised Terms. The current version is always available at bidclarity.ai/terms.html.

14. Warranty disclaimer

The BidClarity service is provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, BidClarity disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BidClarity does not warrant that the service will be error-free, uninterrupted, or free of viruses or other harmful components.

15. Indemnification

You agree to indemnify, defend, and hold harmless Trimax Consulting Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party intellectual property or other rights; or (e) any dispute between you and a supplier, contractor, or contracting agency arising from your use of BidClarity Fulfill outputs.

16. Force majeure

BidClarity is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labour disputes, internet or infrastructure outages, third-party service failures (including government portal downtime and cloud provider outages), or any other force majeure event. BidClarity will notify affected subscribers as soon as practicable and resume service as quickly as feasible.

17. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from BidClarity. BidClarity may assign these Terms, or any rights under them, to an affiliated entity or in connection with a merger, acquisition, sale of assets, or by operation of law, without notice to you. These Terms bind and inure to the benefit of both parties' permitted successors and assigns.

18. Export compliance and sanctions

You represent that you are not located in, or a national or resident of, any country subject to a Canadian, US, UK, or EU government embargo or trade sanction, and that you are not listed on any government list of prohibited or restricted parties. You agree to use the service — including any Fulfill supplier outreach functionality — in compliance with all applicable export control, anti-corruption, and sanctions laws and regulations.

19. Entire agreement and severability

These Terms, together with the BidClarity Privacy Policy and Security Statement, constitute the entire agreement between you and BidClarity regarding the service and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

20. Waiver

BidClarity's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorised representative of BidClarity.
